Terms of Service for mash.space

Welcome to Mash, operated by Improbable MV Limited (incorporated in England) with company number 13856337 whose registered office is at 10 Bishops Square, London, E1 6EG, UK ("MSquared", "we", "our", or "us").

These Terms of Service ("Terms") govern your access to and use of the Mash website, tools, Platform, and community features (together, the "Platform").

By creating an account, purchasing Credits, or otherwise using Mash, you agree to these Terms. If you do not agree, do not use the Platform.


1. About Mash

Mash is a collaborative creation platform that allows users ("Creators") to generate, remix, and share digital 3D assets, and to access or download content from other users. The Platform encourages open sharing and rewards community contribution through the MashShare and Partner Programmes (governed by separate terms linked below).

Mash is for users aged 18 or over.


2. Your Account

You must create an account to upload, generate, or earn rewards on Mash. You are responsible for keeping your login credentials secure and for all activity under your account. We may suspend or terminate your account if we suspect misuse, unauthorised access, or breach of these Terms.


3. Access Tiers

Mash offers multiple levels of access:

Free Tier: browse and download public assets, limited monthly Credits.

Paid Tiers (Base, Pro, Studio, Enterprise): unlock generation tools, higher-resolution downloads, priority queues, API access, and commercial licensing rights.

Access to each tier, and related features, is governed by the Mash Subscription & Programme Terms.


4. Credits

Credits are the Platform's premium currency.

You can obtain Credits by:

  • Purchasing a Subscription;
  • Purchasing them in credit packs;
  • Or earning them through participation in MashShare, the Partner Programme, or other reward or promotional activities operated by Mash.

Credits may be used to access or pay for features on the Platform, including but not limited to asset generations, downloads, exports, and similar features.

Credits are not legal tender, have no intrinsic or cash value, and may not be exchanged, transferred or redeemed for money or monetary value except where expressly permitted by Mash.


5. Content on Mash

All intellectual property rights in the Platform, including copyrights, trademarks, trade names, patents, and secret methods, belong to MSquared. Users are not permitted to use any part of our Platform for commercial purposes without obtaining permission from us.

For the purposes of these terms and related documents such as our Acceptable Use Policy (found at Appendix A), "User Content" means any information, data, text, audio, software, sound, photographs, images, graphics, video, messages, tags, or other materials sent, uploaded, communicated, posted, transmitted or otherwise made available via our Platform by you or another user.

5.1 Your Content

You retain ownership of your User Content. By submitting User Content to Mash, you grant us a worldwide, non-exclusive, royalty-free, irrevocable, perpetual licence to:

  • host, store, reproduce, display, distribute, remix, and adapt your content to operate and promote the Platform; and
  • sub-license these rights to other users under the Mash Community Licence (see below).

Mash reserves the right, in its sole discretion, to remove, disable access to, or delete any User Content that is defective, technically incompatible with the Platform, corrupted, incomplete, or otherwise disrupts Platform functionality, including where assets fail to render or operate as intended.

Such removal does not affect your ownership of the underlying content, but Mash is under no obligation to restore or repair removed content.

5.2 Community Licence

When you upload or generate content with Mash, you grant all users a worldwide, non-exclusive, royalty-free, irrevocable, perpetual licence to:

  • download, remix, re-use, and incorporate your content into their own creations, including for commercial purposes;
  • use derivative works outside the Platform.

This licence underpins the Mash creative ecosystem - creators own their work, but share it openly to enable collaboration and rewards.


6. Third-Party Content

Some assets or links may lead to third-party content. We are not responsible for third-party websites, terms, or materials.


7. User Conduct and Reporting

You must comply with the laws that apply to you in the location that you access our Platform from, including any restrictions or prohibitions on using our Platform.

You understand and agree that all User Content that you may be sent when using our Platform, whether publicly posted or privately sent, is the sole responsibility of the person that sent the User Content. This means that you, not us, are entirely responsible and liable for all User Content that you may upload, communicate, transmit or otherwise make available via our Platform. For example, the content you submit must not include third-party intellectual property (such as copyrighted material) unless you have permission from that party or are otherwise legally entitled to do so.

While we are under no obligation to actively monitor, approve, edit or control User Content that you or others post or publish through the Platform, we reserve the right to, without prior notice and in our sole discretion, remove, screen, edit, suspend, disable, block or investigate any User Content from our Platform, including, but not limited to, if we decide that it results in or from a breach of any part of these terms, our Acceptable Use Policy, or applicable law, or that it may otherwise bring us or our Platform into disrepute.

Mash prohibits any content or behaviour that is: unlawful, harmful, harassing, infringing, exploitative, or otherwise inconsistent with community standards.

If you encounter such content, please report it via the in-platform reporting tool or by email at support@msquared.io.

We may remove or restrict content and suspend accounts at our discretion, including for repeat or serious violations.


8. Feedback

You may be asked to provide us with Feedback (defined below) from time to time. We shall own all rights in all oral and written feedback or ideas that you provide to us relating to our products and Platform or any suggested improvements thereto ("Feedback"). You hereby grant and assign to us a non-exclusive, transferable, worldwide, perpetual, irrevocable, fully-paid, royalty-free license, with the right to sublicense, under any and all intellectual property rights that you own or control to use, disclose, reproduce, license, distribute, edit, adapt, publish, use, copy, modify, create derivative works based upon, distribute copies of, publicly perform, publicly display and otherwise exploit the Feedback in any and all media, for any purpose without any payment to you. If you have rights in the Feedback that cannot be licensed to us under applicable law (such as moral or other personal rights), you hereby waive and agree not to assert those rights. We may use any Feedback you submit about the Platform for promotional or other purposes, including featuring extracts on social media or in marketing materials.


9. Platform Use and Restrictions

You agree not to:

  • upload or distribute malware, spam, or infringing materials;
  • reverse-engineer or misuse the Platform;
  • use Mash to violate any applicable law or right of a third party.

We reserve the right to monitor use for compliance and to take enforcement actions where appropriate.


10. Availability and Updates

Mash is provided "as is" and "as available." We do not guarantee uninterrupted access or error-free operation. We may modify, suspend, or discontinue any feature without notice.


11. Liability and Indemnity

To the extent permitted by law, we, and third parties connected to us, hereby expressly exclude:

  1. All conditions, warranties, and other terms which might otherwise be implied by statute, common law, or the law of equity.
  2. Any liability for any direct, indirect, or consequential loss or damage incurred by any user in connection with our Platform or in connection with the use, inability to use, or results of the use of our Platform, any websites linked to it, and any materials posted on it.

Our total liability to you for any claim arising from these Terms will not exceed the amount you have paid to us in the 12 months preceding the claim.

You agree to indemnify us against any claim arising from your misuse of the Platform or breach of these Terms.


12. Termination

Without limiting any other remedies, if we reasonably believe or have determined that you are in material breach of these terms (including by repeated minor breaches), or our Acceptable Use Policy, or we otherwise deem it necessary, we reserve the right to take any of the following actions, either with or without notice to you:

  • delete, suspend and/or modify your account or parts of your account, including any benefits and privileges;
  • otherwise terminate your access to and use of our Platform, including any User Content.

Upon termination, your Credits and access rights may lapse, but licences already granted (to Mash or other users) will continue.


13. Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.

Appendix A - Acceptable Use Policy

You agree not to, and not to allow third parties to, use the Platform to:

  • probe, scan, or test the vulnerability or breach of any system, network or authentication measures;
  • breach or otherwise circumvent any security or authentication measures;
  • access, tamper with or use non-public areas or parts of Platform, or shared areas of the Platform to which you do not have access rights;
  • generate, distribute, publish or facilitate unsolicited mass email, promotions, advertisings or other solicitations ("spam") or false source-identifying information ("spoofing" or "phishing");
  • inundate a target with communications requests so the target either cannot respond to legitimate traffic or responds so slowly that it becomes ineffective ("DDoS") or any other similar activities including mail bombing, news bombing, broadcast attacks, overload, spamming, or flooding techniques;
  • modify, merge, distribute, adapt, translate, copy, reverse engineer, datamine, decompile, derive source code from, disassemble, create derivative works of, hack, disrupt, or interfere with any part of the Platform, User Content, or any part of them in breach of these Terms;
  • use IP proxying or other methods to disguise the place of your residence, whether to circumvent geographical restrictions on the Platform or for any other purpose;
  • use the Platform, or upload, publish, submit, or transmit any User Content to MSquared servers in any way which is detrimental to the enjoyment of the Platform by other users including is: (i) actually or allegedly illegal or infringes, misappropriate, or violates third party intellectual property rights, trade secrets, contractual rights, moral rights, other proprietary rights, or rights of publicity or privacy; or (ii) is related to gambling, money laundering, terrorism, and/or pornographic or adult content; (iii) is defamatory, racist, obscene, violent, harassing, abusive, bullying, threatening, disrespectful, vulgar, misleading, deceptive, scamming, fraudulent, discriminatory, offensive, inappropriate, or contrary to public morals or public policy; or (iv) that may be harmful to MSquared, its operations and/or reputation;
  • use, intercept, emulate, mine, redirect, or otherwise collect data or information (including personal data and confidential information) from the Platform or other MSquared systems using unauthorised third-party software or otherwise;
  • post, upload, transmit or facilitate the transmission of any files that contain any malicious code, including viruses, spyware, Trojan horses, worms, time bombs or intentionally corrupted data;
  • access the Platform in a manner that is intended to avoid incurring fees due under this or any other agreement;
  • impersonate any person, affiliation, entity, or publicly post identifying information about yourself, MSquared employees, or other users, or collect or store any information that could be used to identify an individual, either itself or combined with other information;
  • harass, stalk, abuse, intimidate, intentionally offend, bully, embarrass, spam, harm or threaten other users or MSquared employees or do anything else that is unwanted or offensive to another user, such as repeatedly sending unwanted messages or making personal attacks or statements about race, sexual orientation, religion, heritage, or otherwise;
  • initiate, spread, or share hate speech or unlawful language that is harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;
  • remove, disable, circumvent, modify, or alter or conceal any copyright, trademark, patent or other proprietary rights notice from the Platform or any technological measure implemented to protect your associated intellectual property;
  • use or make available any exploits, cheats, undocumented features, design errors, technological measures or unauthorised third party programs including mods, hacks, cheats, scripts, bots, third party program add-ons, trainers and automation programs that interact with the Platform in any way, for any purpose including any interference with online or network play whether on a free of charge basis or otherwise;
  • select an account or user name that is:
    • falsely indicative of an association with MSquared;
    • contains personally identifying information;
    • offensive, defamatory, vulgar, obscene, sexually explicit, racially, ethnically, or otherwise objectionable;
    • uses a misspelling or an alternative spelling to circumvent any restriction on name choices; or
    • play on another user's account or otherwise engage in activity intended to "boost" an account's status or rank; or
  • use the Platform for any business purpose without our express written consent or after we've asked you to stop using the Platform; directly or indirectly promote, take part in, or encourage any one to participate in the activity described above.
